Client Responsibilities

As our client, you agree to:

• Respond promptly to requests for information or feedback
• Make timely payments according to agreed terms
• Respect intellectual property rights
• Comply with all applicable laws and regulations
• Provide necessary access to systems, accounts, or platforms as required
• Review and approve deliverables within specified timeframes

Payment Terms

Payment Schedule

• Project payments are typically structured as follows: 50% advance, 50% on completion
• Monthly retainer services are billed in advance
• Payment terms are Net 15 days unless otherwise specified
• Late payments may incur interest charges of 1.5% per month

Payment Methods

We accept payments via:

• Bank transfer (preferred method)
• Online payment gateways
• Cheques (subject to clearance)
• Digital wallets

Intellectual Property

Client Content

You retain ownership of all content, materials, and intellectual property you provide to us. You grant us a non-exclusive license to use such materials for the purpose of delivering our services.

Our Work Product

Upon full payment, you will own the final deliverables specifically created for your project. However, we retain rights to:

• Our proprietary methodologies and processes
• Pre-existing intellectual property
• General knowledge and experience gained
• The right to showcase completed work in our portfolio

Confidentiality

We understand the importance of maintaining confidentiality of your business information. We agree to:

• Keep all client information strictly confidential
• Not disclose sensitive business information to third parties
• Use information solely for the purpose of service delivery
• Implement appropriate security measures to protect data
• Return or destroy confidential information upon request

Project Timelines

We strive to complete all projects within agreed timelines. However, timelines may be affected by:

• Delays in receiving client feedback or approvals
• Changes in project scope or requirements
• Technical complexities or third-party dependencies
• Force majeure events beyond our control

We will communicate any potential delays promptly and work to minimize their impact.

Revisions and Changes

Included Revisions

Our standard packages include a specified number of revision rounds. Additional revisions beyond the included amount may incur additional charges.

Scope Changes

Any changes to the original project scope will be documented and may result in additional costs and timeline adjustments. All scope changes must be approved in writing.

Limitation of Liability

Our liability is limited as follows:

• Total liability shall not exceed the total project value
• We are not liable for indirect, consequential, or incidental damages
• We are not responsible for losses due to third-party services or platforms
• Liability for ongoing services is limited to fees paid in the preceding 12 months

Termination

Termination by Client

You may terminate our services with 30 days written notice. In case of termination:

• You remain liable for all work completed to date
• We will deliver all completed work upon full payment
• Advance payments are non-refundable for work already completed

Termination by Us

We may terminate services in case of:

• Non-payment of invoices
• Breach of these terms
• Abusive or unprofessional conduct
• Illegal activities or requests

Dispute Resolution

In the event of disputes:

1. We encourage direct communication to resolve issues amicably
2. If direct resolution fails, we prefer mediation
3. Any legal proceedings will be subject to the jurisdiction of Delhi, India
4. These terms are governed by Indian law

Updates to Terms

We reserve the right to update these Terms and Conditions. Changes will be:

• Posted on our website with the updated date
• Communicated to active clients via email
• Effective 30 days after posting unless otherwise specified
• Applicable to new projects immediately upon posting

Miscellaneous

Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue to be valid and enforceable.

Entire Agreement

These terms, along with any signed project agreements, constitute the entire agreement between parties and supersede all prior communications.

Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, or technical failures.
